These Terms of Service ("Terms") are a binding legal agreement between you (“you,” “User,” or “Customer”) and the operator of “Zendesk MCP” (“Company,” “we,” “us,” or “our”), based in Morocco, governing your access to and use of the website at https://www.zendeskmcp.com (the “Site”) and the hosted platform, APIs, dashboards, and Model Context Protocol (MCP) server that connect supported AI assistant clients to your own Zendesk account (collectively, the “Service”).
BY CREATING AN ACCOUNT, CLICKING “I AGREE,” OR ACCESSING OR USING THE SERVICE IN ANY WAY, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU ARE ENTERING INTO THESE TERMS ON BEHALF OF A COMPANY OR OTHER ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.
1. Eligibility and Accounts
1.1 You must be at least 18 years old, and have the legal capacity to enter into a binding contract, to create an account or use the Service.
1.2 You agree to provide accurate, current, and complete information when registering, and to keep that information up to date. You are solely responsible for all activity that occurs under your account and organization (“tenant”), including actions taken by any team member, API key holder, or connected AI client you authorize.
1.3 You are responsible for maintaining the confidentiality of your login credentials, API keys, and any access tokens issued to you, and for immediately notifying us of any unauthorized use of your account.
2. Description of the Service; No Affiliation
2.1 The Service allows you to connect your own Zendesk account to supported third-party AI assistant clients (including, without limitation, Claude Desktop, Claude Code CLI, ChatGPT, Cursor, Windsurf, and VS Code-based extensions) through the Model Context Protocol and Zendesk's published APIs, in order to search, read, summarize, and, where you enable write access, create, modify, or merge Zendesk records on your behalf.
2.2 “Zendesk” is a registered trademark of Zendesk, Inc. The Service is an independent, third-party integration and is not affiliated with, endorsed by, sponsored by, or officially connected to Zendesk, Inc., Anthropic, OpenAI, Cursor, or any other AI client or platform provider referenced on the Site. All trademarks belong to their respective owners.
2.3 You are solely responsible for ensuring that your use of the Service, and your connection of your Zendesk account to the Service, complies with Zendesk's own terms of service, API policies, and any agreement you have with Zendesk. We are not responsible for changes Zendesk makes to its API, authentication requirements, or policies that affect the Service.
3. Your Zendesk Account, Data, and Authorization
3.1 By connecting your Zendesk subdomain to the Service, you represent and warrant that you are authorized to grant the Service access to that Zendesk account and its data, and that doing so does not violate any agreement, policy, or law applicable to you or your organization.
3.2 You retain all ownership rights in your Zendesk data (tickets, articles, users, and related content) accessed or processed through the Service (“Customer Data”). You grant us a limited, non-exclusive license to access, process, cache, and transmit Customer Data solely as necessary to provide the Service to you, including to the AI clients you configure.
3.3 Certain tools made available through the Service are marked as read/write or destructive (for example, merging or modifying tickets). You are solely responsible for reviewing tool descriptions, using dry-run or simulation modes where offered, and confirming actions before enabling write access. We are not liable for any modification, deletion, merging, or loss of Zendesk data resulting from actions you authorize, whether performed directly by you or by an AI client acting on your instructions.
4. Free Trial
4.1 New accounts may receive a free trial consisting of up to 100 successful actions or 7 calendar days from registration, whichever occurs first (the “Trial”). No payment method is required to start a Trial.
4.2 We may modify, limit, or discontinue the Trial, or any specific trial allowance, at any time without notice.
4.3 Upon Trial expiration, your account data and any Zendesk connection remain saved, but further metered actions will be blocked until you subscribe to a paid plan. Dashboard access, account settings, and billing remain available.
5. Subscription Plans, Fees, and Billing
5.1 Pricing. Paid plans are billed at a base rate of $30/month (inclusive of one seat), plus $6/month per additional seat, or as otherwise stated on the Site at the time of purchase. We may change our fees at any time; changes will apply prospectively and will be communicated to you before they take effect on your next billing cycle.
5.2 Merchant of Record. Payments are processed by Paddle.com (or its applicable affiliated entity), which acts as the authorized reseller and merchant of record for purchases made through the Service. Your purchase is subject to Paddle's own buyer terms and privacy practices in addition to these Terms. Invoices, receipts, and payment method management are handled through Paddle's systems.
5.3 Automatic Renewal. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You authorize us (via Paddle) to charge your payment method on file for each renewal term.
5.4 Seats. Seat downgrades take effect immediately. Reducing the number of seats on your plan may be restricted if your active user count exceeds the requested seat count, and you are responsible for deactivating users before reducing seats. Any billing adjustment resulting from a seat downgrade is handled as a Paddle account credit rather than a cash refund, as described in our Refund Policy.
5.5 Non-Payment. We may suspend or terminate access to the Service for accounts with failed, disputed, or reversed payments (chargebacks) until the outstanding balance is resolved, and may charge reasonable fees to cover chargeback and collection costs to the extent permitted by law.
5.6 Refunds. Refunds, if any, are governed by our separate Refund Policy.
6. Acceptable Use
You agree not to, and not to permit any third party (including any AI client acting under your instruction) to:
a. Use the Service to violate any applicable law, regulation, or third-party right, including Zendesk's terms of service; b. Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service, or probe, scan, or test its vulnerability except through a responsible disclosure process we authorize in writing; c. Circumvent, disable, or interfere with rate limits, quotas, security features, or authentication mechanisms; d. Use the Service to access, scrape, or exfiltrate data from Zendesk accounts you are not authorized to access; e. Resell, sublicense, or provide the Service to third parties as a standalone or white-labeled product without our prior written consent; f. Use the Service to transmit malware, conduct denial-of-service activity, or otherwise compromise the integrity of our systems or Zendesk's systems; g. Misrepresent your identity or affiliation, or use the Service to impersonate any person or entity.
We may investigate suspected violations and take any action we deem appropriate, including suspending or terminating access, without liability to you.
7. API Keys and Account Security
7.1 API keys and access tokens issued to you are confidential and must not be shared, published, or embedded in client-side or publicly accessible code.
7.2 You are solely responsible for all actions performed using your API keys, whether or not authorized by you, until you rotate or revoke the affected key through your dashboard.
7.3 We may rotate, suspend, or revoke API keys at our discretion where we reasonably suspect compromise, abuse, or violation of these Terms.
8. Third-Party Services and Integrations
The Service interoperates with third-party platforms, including Zendesk, AI assistant clients, and Paddle. We do not control and are not responsible for the availability, security, content, or practices of those third-party services. Your use of any AI client or third-party platform is governed by that provider's own terms and policies, and any output generated by an AI client is the responsibility of that provider and of you as the user directing it, not of us.
9. Intellectual Property
9.1 The Service, including its software, design, tool catalog, documentation, and branding (excluding Customer Data and third-party trademarks), is owned by us or our licensors and is protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except the limited right to use it as permitted here.
9.2 You grant us a limited license to use your company name and logo solely to identify you as a customer, unless you opt out by written request.
10. Confidentiality
Each party agrees to protect the other's non-public information disclosed in connection with the Service with the same degree of care it uses to protect its own confidential information, and not to disclose it to third parties except as necessary to provide or receive the Service, or as required by law.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. We do not warrant the accuracy, completeness, or reliability of any output produced by AI clients or tools connected through the Service, and you should independently verify any action before relying on it, particularly destructive or write actions affecting your Zendesk data. Nothing in this section limits any statutory rights that cannot lawfully be excluded in your jurisdiction.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (I) THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) USD $100.
This limitation does not apply to liability that cannot be limited or excluded under applicable law (for example, liability for fraud, gross negligence, or willful misconduct, where such limitation is not permitted).
13. Indemnification
You agree to defend, indemnify, and hold harmless the Company from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms, Zendesk's terms, or any applicable law; (c) Customer Data you process through the Service; or (d) actions taken by any AI client or third party you authorized to access the Service.
14. Suspension and Termination
14.1 We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, for actual or suspected violation of these Terms, non-payment, legal or security risk, or discontinuation of the Service.
14.2 You may cancel your subscription at any time through your dashboard or by contacting us; cancellation takes effect at the end of the current billing period unless stated otherwise in our Refund Policy.
14.3 Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including Sections 9, 10, 11, 12, 13, and 17) will survive.
15. Changes to the Service and These Terms
We may modify or discontinue any part of the Service, and may update these Terms from time to time. Material changes will be posted on this page with an updated “Last updated” date, or otherwise communicated to you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
16. Governing Law and Dispute Resolution
16.1 These Terms are governed by the laws of Morocco, without regard to conflict-of-law principles, except where mandatory local consumer-protection law requires otherwise for your jurisdiction.
16.2 Before initiating formal proceedings, you agree to first contact us at the email below so we can attempt to resolve the dispute informally.
16.3 Any dispute not resolved informally shall be submitted to the exclusive jurisdiction of the competent courts of Morocco, unless applicable law grants you the right to bring proceedings in your own country of residence.
17. Miscellaneous
17.1 If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
17.2 Our failure to enforce any right or provision will not be deemed a waiver of that right.
17.3 You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
17.4 These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the Service.
